has the sole responsibility for arranging this pre wedding event consultation with Photographer and failure the occurrence pre wedding event consultation shall not constitute breach this Agreement Provide the agreed Wedding Photography Services the dates Times and Locations agreed upon the Specifications and provide images taken during the Event the Proofs Customer soon they are available Provide proof agreed upon expenses associated with the Event and the execution Wedding Photographer Services and present them Customer for approval Provide Customer post wedding event consultation review all images taken during the Event otherwise arrange for the insured delivery any images other related materials Provide other such services Customer may request from time time such additional Shots assistance Customer staff and employees additional project consulting Provide the Customer ordering and photographic reproduction services Specifications Photographer agrees provide the Wedding Photography Services pursuant the specifications set forth Exhibit attached hereto the Specifications Delivery Proofs Photographer will use reasonable diligence the development the Proofs and endeavor deliver Customer all agreed upon Specifications outlined Exhibit later than DeliveryDate Customer acknowledges however that this delivery deadline listed Exhibit estimate and not required delivery date Photographer will retain all rights any and all photographic materials custom shots proofs other intellectual property for the entire project and will provide the Customer with the output formats only Customer shall retain all Customer intellectual property rights any logos graphics text images other components owned and transmitted Photographer for use fulfillment creation Wedding Photography Services Ownership Rights Photographer shall retain under the fullest extent under the law full copyright and interest any and all film digital files proofs samples prints negatives created produced for Customer pursuant this Agreement Customer agrees return Photographer any materials Customer may have Photographer such artwork mock ups comps text digital media film images any other physical digital embodiment Photographer creative work performed under this Agreement Upon termination expiration this Agreement Customer agrees solely responsible for any additional use materials created Photographer pursuant this Agreement Additional expenses may include but are not limited fees licenses translations royalties talent and other associated fees Photographer obligation shall not apply any respect foreign use Customer granted non exclusive worldwide right use the materials for Customer own promotional advertising internal use any other agreed upon use outlined Exhibit Photos materials are NOT resold distributed any third parties event participants Photographer copyright must accompany all use the photos materials whenever possible and must read Copyright CurrentYear equipment failure access shooting locations anything else not under the control the Photographer Photographer shall not responsible for any delay loss shooting time due any action inaction for any adverse effect that the Customer may experience that the result any action inaction the part the Photographer the event illness injury other medical reason for unforeseen scheduling conflicts Photographer may substitute another photographer fulfill this contract Photographer shall not responsible for discoloration faded colors any degradation dyes inks other printed media over time nor Photographer under any obligation store archive any film proofs digital photos for later retrieval Customer unless specifically contracted Resources and Equipment Photographer agrees make available any items hardware software Customer and Photographer may agree are reasonably necessary for such purpose Specific items and hardware software requirements are listed Exhibit attached hereafter Non competition Customer agrees that Photographer shall the sole and exclusive Photographer for the event and time shall any third party interfere capitalize the work being done the Photographer including but not limited Engaging Family the Wedding Party the event for the purpose staging and taking photographs attempts shoot any photos anyone any time while Photographer working attempts shoot photos Photographer staging and posing shots and any other activity deemed the Photographer interfering with the Photographer work rights any time Customer warrants they have not signed any exclusive contracts with any other Photographer Agency that would preclude interfere with Photographer right render the services otherwise conduct business the event Event Deliverables Customer shall have responsibility for the following event deliverables copy official event credentials and any security passes required move around event locations parking pass that close the event location possible Access secure storage area the event location for equipment and materials Contact cell phone for event staff event location who are responsible for event planning production for any deliverable listed Exhibit list all requested shots key shots event timeline schedule that contains list all start end times for each key event key shot All event maps driving directions event location General Provisions Entire Agreement This Agreement contains the entire agreement between the parties relating the subject matter hereof and supersedes any and all prior agreements understandings written oral between the parties related the subject matter hereof modification this Agreement shall valid unless made writing and signed both the parties hereto Governing Law This Agreement shall governed and construed accordance with the laws the State State Exclusive jurisdiction and venue shall the County County State Superior Court Binding Effect This Agreement shall binding upon and inure the benefit Customer and Customer respective successors and assigns provided that Customer may not assign any Customer obligations under this Agreement without prior written consent Photographer Customer shall have right assign any Customer rights nor have the right sublicense photographs materials any other parties Waiver The waiver either party any breach failure enforce any the terms and conditions this Agreement any time shall not any way affect limit waive such party right thereafter enforce and compel strict compliance with every term and condition this Agreement Good Faith Each party represents and warrants the other that such party has acted good faith and agrees continue act the negotiation execution delivery performance and any termination this Agreement Right Withhold Content and Creative Services the event Customer fails make any the payments set forth Exhibit within the time prescribed Exhibit Photographer has the right withhold any materials photographic otherwise suspend any further creative administrative Services performed behalf Customer until payment full received plus accrued late charges per month Indemnification Customer warrants that everything Customer gives Photographer use fulfillment Wedding Photography Services legally owned licensed Customer Customer agrees indemnify and hold Photographer harmless from any and all claims brought any third party relating any aspect the Services creative other content including but without limitation any claims resulting from missed Shots missed Times inaccessibility Locations weather related problems inaccessibility lack cooperation from critical employees staff other personnel required Photographer order meet any the deliverables obligations listed Exhibit difficulty gaining any access the agreed upon Locations any demands liabilities losses costs and claims including attorney fees arising out injury caused Customer products services material supplied Customer copyright infringement and defective products sold via the advertising Services Further Customer agrees indemnify Photographer from responsibility for problems disruptions caused third party services and contractors that Customer may use such reproduction services enlargements digital processors transportation shipping hosting services film processing and other services that relate the execution the Services outlined
