All staff accountants are CPA's with additional tax attorney services available through our corporate office location in Seattle WA. We will provide Accounting Services to include.

Daily Quarterly and Yearly accounting reconciliations Year End Tax statements and summaries Quarterly tax Payment reports Ledger Maintenance Inventory account balancing Payroll Services to include. Standard pay period check determination and origination Withholding allotments Benefit Summaries

Accounts Payable Services to include upon request. Payment of all bills owing Budget Plan negotiations Negotiation for terms Valley Fitness is privately owned and operated fitness club with locations. Started in with staff members the clubs now employ employees per location and client base of approximately 1400. Office accounting and payroll staff currently consists of the owners who took over the responsibility when the FT accountant did not return from extended medical leave. This lack of FT accounting and payroll person has led to backlog of data entry poor inventory control payroll not being met on time and tax filing past due. Once Applied Accounting Services is responsible for all accounting and payroll the owners will be relieved to return to the FT management of their clubs. AA Services will bring all accounting payroll accounts payable and tax filing current. Initial Set Up. 50% at contract signing

Will be billed on monthly invoice Minimum Term of this contract. 12 calendar months commencing on the first of the month following conversion completion. After the initial term of this contract services will be provided on continuing monthly basis at the current rate schedule. Current rates are disclosed no less than days prior to the end of the initial term of this contract. If new contract for period of or more months is signed the rates will be locked in at the current rate at the time of signing. In the event of cancellation for any reason. 90 days notice is required by either party. There are no pre payment penalties. Cancellation of contract prior to the end of the initial term will require payment for all contracted services due to the end of the contract period or for days whichever is longer. Late Payment fees will be assessed on any account past due by days. Final terms and conditions will be provided in the contract for services.

Independent Contractor. Company shall be retained as an independent contractor. Company will be fully responsible for payment of its own income taxes on all compensation earned under this Agreement. Customer will not withhold or pay any income tax social security tax or any other payroll taxes on Companys behalf. Company understands that it will not be entitled to any fringe benefits that Customer provides for its employees generally or to any statutory employment benefits including without limitation workers compensation or unemployment insurance. Equipment. Customer agrees to make available to Company for Companys use in performing the services required by this Agreement such items of hardware and software as Customer and Company may agree are reasonably necessary for such purpose. General Provisions. Entire Agreement.

This Agreement contains the entire agreement between the parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings written or oral between the parties related to the subject matter hereof. No modification of this Agreement shall be valid unless made in writing and signed by both of the parties hereto. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of State or province. Exclusive jurisdiction and venue shall be in the County County State or province Superior Court. Binding Effect. Each party represents and warrants to the other that such party has acted in good faith and agrees to continue to so act in the negotiation execution delivery performance and any termination of this Agreement. Right to Remove Services. In the event Customer fails to make any of the payments set forth on Exhibit within the time prescribed in Exhibit Company has the right to remove or withhold the Services or Deliverables until payment in full is made plus accrued late charges of 2% per month. Indemnification. Customer warrants that everything it gives Company to use in the delivery of the Services or any deliverable is legally owned or licensed to Customer. Customer agrees to indemnify and hold Company harmless from any and all claims brought by any third party relating to any aspect of the Services including but without limitation any and all demands liabilities losses costs and claims including attorneys fees arising out of injury caused by Customers products services material supplied by Customer copyright infringement and defective products sold via the Services or Deliverables. Use of Services for Promotional Purposes. Customer grants Company the right to reference the Services or Deliverables or the Customers name for promotional purposes and or to cross link it with other Services offered by Company. No Responsibility for Theft.

Company has no responsibility for any third party taking stealing destroying or otherwise ruining all or any part of the Services or Deliverables rendered under this Agreement. Attorneys Fees. In the event any party to this Agreement employs an attorney to enforce any of the terms of the Agreement the prevailing party shall be entitled to recover its actual attorneys fees and costs including expert witness fees. Identification of Company. Customer agrees that Companys identification may be associated with the Services or Deliverables as the creators. Customer also agrees to put Companys copyright notices on the Services or Deliverables and the relevant content therein.

No Responsibility for Loss. Company is not responsible for any down time lost files improper links or any other loss that may occur from any service or deliverable related to Companys work or the rendering of the Services or Deliverables. Transfer of Rights. In the event Company is unable to continue maintenance of the Services Customer shall have non exclusive rights to use pre existing material see Exhibit owned by Company in connection with Customers Services. The parties represent and warrant that on the date first written above they are authorized to enter into this Agreement in its entirety and duly bind their respective principals by their signatures below.
